Terms of Service

1. Acceptance of Terms
By accessing and using the services provided by TECRAYONS Technology Solutions ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") govern your use of our ERP, CRM, SAP, and Microsoft Dynamics 365 consulting services.
2. Description of Services
TECRAYONS Technology Solutions provides enterprise software consulting services including but not limited to:
- Enterprise Resource Planning (ERP) implementation and consulting
- Customer Relationship Management (CRM) solutions
- SAP system implementation and support
- Microsoft Dynamics 365 consulting and deployment
- Custom .NET application development
- Business process automation and optimization
- Digital transformation consulting
- System integration and data migration services
3. Service Agreements
All consulting services are provided under separate service agreements that detail specific terms, deliverables, timelines, and payment terms. These Terms of Service supplement but do not replace individual service agreements.
4. Client Responsibilities
Clients agree to:
- Provide accurate and complete information necessary for service delivery
- Grant appropriate access to systems, data, and personnel as required
- Participate actively in project planning and implementation phases
- Provide timely feedback and approvals as outlined in project timelines
- Ensure availability of key stakeholders for project activities
5. Intellectual Property
All custom developments, configurations, and intellectual property created specifically for the client remain the property of the client upon full payment. TECRAYONS retains ownership of its proprietary methodologies, frameworks, and pre-existing intellectual property.
6. Confidentiality
We maintain strict confidentiality regarding all client information, business processes, and data. Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement.
7. Data Security and Privacy
TECRAYONS implements industry-standard security measures to protect client data. We comply with applicable data protection regulations including GDPR, CCPA, and other relevant privacy laws. Detailed data handling procedures are outlined in our Privacy Policy.
8. Payment Terms
Payment terms are specified in individual service agreements. Generally:
- Invoices are due within 30 days of receipt unless otherwise specified
- Late payments may incur interest charges as permitted by law
- Services may be suspended for overdue accounts
- All fees are non-refundable unless explicitly stated in the service agreement
9. Limitation of Liability
To the maximum extent permitted by law, TECRAYONS Technology Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of or relating to the use of our services.
10. Warranty and Disclaimers
We provide services using industry best practices and experienced professionals. However, we make no warranties regarding specific outcomes or results. All services are provided "as is" without warranty of any kind, express or implied.
11. Force Majeure
Neither party shall be liable for any delay or failure in performance due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
12. Termination
Either party may terminate services with written notice as specified in the service agreement. Upon termination, client shall pay for all services rendered up to the termination date.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
14. Dispute Resolution
Any disputes arising under these Terms or related service agreements shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
15. Modifications
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

Service-Specific Terms
ERP Implementation Services: ERP implementations require client commitment to project timelines and change management processes. Success depends on client participation and adherence to project methodologies.
SAP Consulting: SAP services require appropriate licensing from SAP SE. TECRAYONS assists with implementation but does not provide SAP software licenses.
Microsoft Dynamics 365: Dynamics 365 services require valid Microsoft licenses. We can assist with license procurement through authorized Microsoft channels.
